1. Introduction
These Terms of Use (the “Terms”) govern the relationship between you and Woodlandea UK Ltd (“Woodlandea”, the “Store”, “we”, “our”, “us”) in connection with:
- access to and use of our website, and
- the sale of Goods and provision of related Services.
By using our website or purchasing Goods, you accept these Terms and agree to be bound by them.
References to:
- “you” / “your” mean the Buyer, the person or entity using the Site or purchasing Goods.
- “we” / “our” / “us” mean Woodlandea UK Ltd.
USE OF OUR SERVICES IN ANY FORM MEANS ACCEPTANCE OF THESE TERMS OF USE.
Headings are for convenience only and do not affect the interpretation of these Terms.
2. Definitions
For the purposes of these Terms:
- “Data” – a collective term for Personal Data and Statistical Data.
- “Buyer’s consent” / “Consent” – a voluntary, specific, informed and unambiguous expression of will by which the Buyer agrees to the processing of Data.
- “Buyer” – any individual or legal entity who purchases Goods in the Store.
- “Woodlandea Online Store” / “Store” – the online store operated by Woodlandea, through which the Buyer can purchase Goods.
- “Site” – the Woodlandea website located at https://woodlandea.com/ and associated pages.
- “Personal Data” – any information relating to an identified or identifiable Buyer, such as first name, last name, phone number, email address, IP address.
- “Statistical Data” – aggregated or publicly available data that may relate to the Buyer but does not directly identify them in a personally sensitive way.
- “Services” – the actions performed by the Store to present, sell and deliver the Goods chosen by the Buyer.
- “Third Party” – any natural or legal person, government agency or organisation other than the Store and the Buyer.
- “Goods” – products displayed on the Site and available for sale.
3. User Consent
By using the Site and Services, the Buyer:
- confirms that they are of legal age in their country of residence, or that they have obtained the consent of their legal guardian (for minor dependants);
- agrees to the:
- terms of payment for Goods;
- terms of refunds and returns;
- terms of purchase of Goods;
- conditions of these Terms of Use; - agrees not to:
- use the Site or Services for any unlawful or prohibited purpose, including copyright infringement;
- transmit any worms, viruses, malicious code or destructive software in any way.
The Buyer also:
- consents to receive electronic communications (email, on-site notices) and agrees that all agreements, notices and other communications provided electronically satisfy any legal requirement that such communications be in writing.
- may receive marketing and promotional messages via email; the Buyer can unsubscribe at any time by following the unsubscribe link or by contacting us at contact@woodlandea.com.
We may obtain the Buyer’s Consent via:
- forms on the Site;
- checkboxes (for example, in pop-up forms or at checkout);
- explicit acceptance of these Terms.
Any of the following actions signify Consent to these Terms:
- signing or clicking “I agree” (where applicable);
- purchasing Goods;
- using the Services provided by the Store.
4. Providing Services and Payments
- The Store provides the Buyer with access to the Goods listed on the Site and enables the Buyer to place orders for such Goods.
- To purchase Goods, the Buyer must place an order via the Site in the manner described on the relevant pages.
- Unless otherwise stated, the Buyer pays 100% of the price in advance when placing the order.
- Prices for Goods are indicated on the Site. Payments are made using the payment methods and providers shown at checkout.
- Most of our furniture is made to order. Production times typically range from 8 to 10 weeks, depending on complexity and workload. Any indicative lead times on the Site are approximate and may be extended in case of high order volume or exceptional circumstances.
- Before shipping the Goods, the Store may send the Buyer a notice confirming that production is complete and the order is ready for dispatch.
5. Delivery of Goods
Delivery terms (countries, delivery types, frequency and any rescheduling conditions) are governed by our Shipping Policy, which forms part of these Terms.
In summary:
- The cost and method of delivery depend on the Buyer’s location and are described in detail in the Shipping Policy on the Site.
- Deliveries are usually organised in planned waves (for example every 2–3 weeks), and the Buyer will be informed of the delivery date and time window in advance via email or phone.
- When a specialised delivery service is used, delivery is carried out according to the rules and conditions of that service.
- Goods are considered transferred from the Store to the Buyer from the moment the Buyer (or a person at the delivery address) receives the Goods.
- Detailed information regarding:
- free delivery regions,
- curbside vs. in-room delivery,
- assembly,
- rescheduling fees and
- limitations for islands / regions without road access is contained in the Shipping Policy available on the Site.
In the event of any discrepancy between this section and the Shipping Policy, the Shipping Policy shall prevail for delivery matters.
6. Refunds and Returns
Refunds, returns and exchanges are governed by our Refund Policy, which also forms part of these Terms.
In summary:
- The Buyer may have the right to return or exchange Goods of proper quality within a defined period (for example, 14 days), subject to the conditions and limitations described in the Refund Policy.
- The Refund Policy explains:
- conditions for returning Goods of proper quality (e.g. unused, undamaged, in original condition);
- handling of Goods of inadequate quality (defective or damaged);
- timeframes for refunds and replacements;
- who bears the return shipping costs in different situations;
- treatment of custom-made or personalised items.
The Refund Policy is governed by the laws of England and Wales and does not affect the Buyer’s statutory rights under the laws of their country of residence.
In the event of any discrepancy between this section and the Refund Policy, the Refund Policy shall prevail for refund and return matters.
7. Intellectual Property Rights
- All proprietary and intellectual property rights to the program code, design, images, text and other elements of the Site belong exclusively to the owner of the Store or are used under licence.
- The Store grants the Buyer a non-exclusive, non-transferable, limited licence to use the Site and its content solely for:
- browsing,
- evaluating, and
- purchasing Goods for personal use. - The Buyer grants the Store a non-exclusive right to use, store and process the Buyer’s Personal and Statistical Data for the purposes of providing the Services, in accordance with our Privacy Policy and applicable data protection laws.
- All copyrights and other intellectual property rights in the Goods (including, but not limited to, furniture designs, product photos and descriptions) belong exclusively to the Store or its licensors.
The Buyer may not:
- resell the Goods as if they were their own design brand, unless there is a separate written agreement;
- transfer or sublicense any intellectual property rights related to the Goods or the Site to any Third Party;
- use images, texts or designs from the Site for commercial purposes without our prior written consent.
If a Buyer believes their intellectual property rights have been violated, they may contact us at contact@woodlandea.com, providing:
- full name;
- description of the alleged infringement;
- contact details;
- supporting evidence of rights and infringement.
We will review such requests within a reasonable period (for example, within 10 business days) and respond accordingly.
8. Responsibility (Limitation of Liability)
To the fullest extent permitted by law:
- The Store is not liable for any damage to health, property or other loss arising from misuse of the Goods, including violation of instructions for use, operation, storage, maintenance or repair.
- While delivery is usually carried out by independent carriers, we will assist the Buyer in resolving any issues related to delivery damage in line with our Refund Policy.
- The Store is not responsible for:
- any subjective expectations of the Buyer regarding the Goods (e.g. colour perception differences between screen and real life);
- unavailability of customer support during non-working hours;
- delays in delivery caused by circumstances beyond our control (e.g. carrier delays, customs, force majeure).
After receiving the Goods:
- The Buyer is responsible for inspecting the Goods within a reasonable time and notifying the Store of any defects or damage as described in the Refund Policy.
- A 5-year warranty is provided on the structural integrity of the Goods (for example, the frame and main joints), unless stated otherwise. This warranty does not cover:
- minor scratches,
- cosmetic damage to finishes,
- normal wear and tear arising from everyday use.
The Store, its affiliates and agents are not responsible for delay or failure to perform obligations due to events beyond our reasonable control, including but not limited to:
- natural disasters,
- internet outages,
- power failures,
- strikes or labour disputes,
- wars, hostilities, civil unrest,
- epidemics or pandemics,
- governmental actions or court orders.
9. Applicable Law and Dispute Resolution
- These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of England and Wales, without prejudice to any mandatory consumer protection provisions in the Buyer’s country of residence.
- Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, may be submitted to and finally resolved by arbitration or courts as appropriate.
If an arbitration clause is used (for example via LCIA), the parties agree that:
- the seat of arbitration shall be London;
- the language of the proceedings shall be English;
- any arbitration shall be limited to the dispute between the parties individually (no class actions or representative proceedings).
Nothing in this section prevents a consumer from bringing a claim before a competent court in their country of residence where applicable law grants such a right.
10. Duration of the Terms of Use
- These Terms apply for as long as the User uses the Site or Services.
- Upon termination of the use of the Site and Services, certain provisions which by their nature should survive (for example, intellectual property, limitations of liability, dispute resolution) will continue to apply.
11. Changes to the Terms of Use
- Woodlandea may update these Terms from time to time.
- When we do, we will:
- update the “Last updated” date at the top of this document; and
- where required, notify Users via the Site or email within a reasonable period (for example, 7 business days). - It is the Buyer’s responsibility to review the updated Terms. Continued use of the Site or Services after the updated Terms are published constitutes acceptance of those changes.
Our electronic or otherwise stored copies of these Terms are considered valid and enforceable versions in effect at the time of your visit.
